2. Avoiding Harm or Overburdening the Platforms: You further agree not to use the Intelligraph Platforms in a manner that could:

   • Interfere with any other party’s use of the Intelligraph Platforms.

3. Unauthorized Access: You agree not to attempt to gain unauthorized access to any part of the Intelligraph Platforms, any other accounts, or any computer systems or networks connected to the platforms through hacking, password mining, or any other unlawful means.

2. Limited License for Personal Use:
   The Content provided on the Intelligraph Platforms is made available for your personal information and use only, under a limited, non-exclusive, and non-transferable license. This means that:

   • You may not use, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit the Content for any other purposes without the prior written consent of Intelligraph or the rightful owners.

   • Intelligraph reserves all rights not explicitly granted in relation to the Content and the Intelligraph Platforms.

User Submissions

A. Types of User Submissions

The Intelligraph Platforms allow users to submit various types of content, including but not limited to photos, videos, audio clips, texts, and communications (collectively referred to as "User Submissions"). When submitting content to the Intelligraph Platforms, including its community features (e.g., bulletin boards, forums, communities, chat rooms), users acknowledge that Intelligraph does not guarantee the confidentiality of any User Submissions, whether or not they are published.

 

B. Responsibility for User Submissions

Users are solely responsible for their User Submissions and the consequences of posting or publishing them. By submitting content, users affirm, represent, and warrant that:

1. Ownership or Permissions:
   They own or have the necessary licenses, rights, consents, and permissions to authorize Intelligraph to use all proprietary rights in their User Submissions for display on the Intelligraph Platforms.

2. Consent from Individuals Featured:
   If any User Submission features identifiable individuals, the user has obtained written consent, release, and/or permission from each person to use their name or likeness for display on the Intelligraph Platforms.

3. Licensing of Content:
   Users retain ownership of their User Submissions but grant Intelligraph a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform their submissions for promotional and redistribution purposes on the Intelligraph Platforms. Additionally, users grant other users a non-exclusive license to access and use their User Submissions as permitted by the functionality of the Intelligraph Platforms.

   • The license granted by users terminates when the User Submission is removed or deleted from the Intelligraph Platforms.

 

C. Prohibited Conduct for User Submissions

Users agree not to submit content that:

1. Infringes upon Third-Party Rights:
   This includes submitting material that violates copyrights, trademarks, or proprietary rights unless you own the rights or have permission from the rightful owner.

2. Contains False Information:
   Users shall not submit content that is false, misleading, or harmful to Intelligraph or any third party.

3. Is Unlawful or Offensive:
   Submissions must not be defamatory, obscene, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or otherwise inappropriate.

4. Advertises or Solicits Business:
   Submissions that are purely for commercial promotion, advertising, or solicitation of business are prohibited unless authorized by Intelligraph.

5. Impersonates Another:
   Users must not impersonate another individual, business, or entity.

6. Violates Privacy or Publicity Rights:
   Submissions must not infringe on the privacy or publicity rights of others.

7. Contains Malware:
   No content should contain viruses, malicious code, or any software designed to disrupt the functionality of the Intelligraph Platforms.

8. Encourages Unlawful Activity:
   Submissions that encourage criminal behavior or conduct that could result in civil liability are prohibited.

9. Damages or Overburdens the Platform:
   Users agree not to use the Intelligraph Platforms in a manner that overburdens the servers or disrupts the platform’s functionality.

10. Sells Access to the Platform:
    Users are prohibited from reselling or charging others for access to the Intelligraph Platforms.

11. Reverses Engineering:
    Any attempt to reverse engineer or modify any aspect of the Intelligraph Platforms is strictly prohibited.

12. Sends Bulk Communications (Spam):
    The Intelligraph Platforms must not be used to send unsolicited bulk communications or spam.

 

Intelligraph reserves the right to remove any User Submissions that violate these terms without prior notice and may terminate access for users who repeatedly infringe upon these terms. Intelligraph may also remove User Submissions that violate laws or regulations or are otherwise deemed inappropriate at its discretion.

 

D. Copyright Infringement Notification

If you believe that a User Submission or other content on the Intelligraph Platforms infringes upon your copyright, you may file a notification in compliance with the Digital Millennium Copyright Act (DMCA). Your notification must include:

• Identification of the copyrighted work that you believe has been infringed.

• Identification of the material that you claim is infringing and needs to be removed.

• Your contact information, including your name, mailing address, telephone number, and email address.

• A statement that you have a good faith belief that the use of the material in question is not authorized by the copyright owner, their agent, or the law.

Failure to include all required information in your DMCA notice may render it invalid.

 

E. Encountering User Submissions

While using the Intelligraph Platforms, you may encounter User Submissions from a variety of sources. Intelligraph is not responsible for the accuracy, usefulness, safety, or intellectual property rights of such submissions. You acknowledge that User Submissions may be offensive, indecent, or objectionable, and by using the platform, you waive any legal or equitable rights or remedies you may have against Intelligraph regarding such content.

Assignment
